These Terms of Use (“Terms”) govern your access to and use of websites, applications, and services offered by BioGate, Inc. (“BioGate,” “we,” “us”). By using the service, you agree to these Terms. If you are using BioGate on behalf of an organization, you represent that you have authority to bind that organization.

Not legal advice

BioGate provides analytical and operational tools to support compliance workflows. Output is not legal advice, a legal opinion, or a substitute for qualified counsel. You remain responsible for your regulatory obligations, filings, and decisions. Flagged vendors require human review before you rely on results for material decisions.

Your responsibilities

• Provide accurate information and lawful uploads. Do not use the service to violate law or others’ rights.
• Keep credentials secure. You are responsible for activity under your account.
• Do not reverse engineer, scrape, or overload the service except as permitted by law.

Intellectual property

BioGate and its licensors own the service, branding, and underlying software. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription or trial. You retain ownership of data you submit; you grant us a license to host, process, and display it solely to provide the service.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Watchlists and third-party data may be incomplete or delayed; matches may include false positives or false negatives.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOGATE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS, IF YOU HAVE NOT PAID US.

Indemnity

You will defend and indemnify BioGate against claims arising from your data, your misuse of the service, or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.

Termination

We may suspend or terminate access for breach, risk, or legal requirements. You may stop using the service at any time. Provisions that by nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless otherwise required by mandatory law. Courts in Delaware have exclusive jurisdiction, subject to injunctive relief in any competent court.

Changes

We may modify these Terms. We will post updates and may notify you for material changes. Continued use after the effective date constitutes acceptance.
